This document is a formal "Terms of Use" adapted for SHOPMINII Proprietorship. It incorporates the standard legal language for Indian IT laws, e-commerce marketplace rules (2020), and FSSAI regulations for 2026.
TERMS AND CONDITIONS (T&C)
THIS DOCUMENT IS AN ELECTRONIC RECORD IN TERMS OF THE INFORMATION TECHNOLOGY ACT, 2000 AND RULES THEREUNDER AS APPLICABLE AND THE PROVISIONS PERTAINING TO ELECTRONIC RECORDS IN VARIOUS STATUTES AS AMENDED BY THE INFORMATION TECHNOLOGY ACT, 2000. THIS DOCUMENT IS PUBLISHED IN ACCORDANCE WITH THE PROVISIONS OF RULE 3 (1) OF THE INFORMATION TECHNOLOGY (INTERMEDIARIES GUIDELINES AND DIGITAL MEDIA ETHICS CODE) RULES, 2021.
1. THE AGREEMENT
Thank you for using Shopminii!
These Terms and Conditions ("T&Cs") intend to make the consumer ("Consumer"/ "You"/ "Your") aware of Your legal rights and responsibilities with respect to Your access to and use of our mobile application operating under the brand name "Shopminii" (the "App" or "Platform").
The Platform is owned and operated by SHOPMINII Proprietorship, a sole proprietorship registered in India, having its principal place of business at Ilaya Street, Thiruvallur Nagar, New Washermenpet, Chennai, Tamil Nadu 600081, India ("Company" / "Us"/ "We"/ "Our").
2. SERVICES & INTERMEDIARY STATUS
Shopminii operates as an online marketplace (Intermediary) that connects Users with third-party Restaurant Partners and independent delivery service providers.
Role: We facilitate the discovery, ordering, and payment of food, beverages, and other curated items ("Services").
No Ownership: We do not own, prepare, or control the food production process. All Restaurant Partners are independent entities.
Compliance: In accordance with Section 79 of the Information Technology Act, 2000, Shopminii’s liability is limited to its role as an intermediary.
3.Eligibility.
You hereby represent and warrant that You are at least 18 (eighteen) years of age or above and are fully able and competent as per the applicable Indian laws to understand and agree to the T&Cs. Shopminii reserves the right to deny you the Services on the Platform if it is brought to Our attention that You are below the age of 18 (eighteen) or are not fully able or competent as per the applicable Indian laws, to agree to these T&Cs.
You agree to use the Services only in compliance with the T&Cs and applicable Indian laws, and in a manner that does not violate Shopminii's legal rights or those of any third parties.
4.USER REGISTRATION & ACCOUNT SECURITY
1. Registration Obligations
To access the Services, You are required to create an account on the Shopminii Platform. You agree to:
Provide true, accurate, and current information during the registration process.
Maintain and promptly update your registration data to keep it accurate.
Use a valid Indian mobile number and email address for verification.
2. Account Confidentiality
You are responsible for maintaining the confidentiality of Your account credentials (username and password). You agree that Shopminii will not be liable for any loss or damage arising from your failure to protect your password. Any activity performed through your account will be deemed to have been authorized by You.
3. Data Privacy & Consent (Mandatory under DPDP Act 2026)
By registering, You provide Shopminii with explicit consent to process Your personal data (Name, Address, Phone Number) strictly for the purpose of fulfilling orders and improving service quality.
Withdrawal of Consent: You have the right to withdraw your consent or request account deletion at any time by contacting our Grievance Officer.
Accuracy: It is Your responsibility to ensure the data you provide is correct to avoid delivery failures.
4. Username Policy
We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
5.INTELLECTUAL PROPERTY RIGHTS (IPR)
1. Ownership of Content
All content included on the Shopminii Platform, including but not limited to text, graphics, logos, button icons, images, software, and data compilations (collectively, the "Content"), is the exclusive property of SHOPMINII Proprietorship or its content suppliers. This Content is protected by the Indian Copyright Act, 1957 and international copyright treaties.
2. Confidentiality and Originality
You acknowledge that the Platform contains original works developed, compiled, and arranged by Shopminii through the expenditure of substantial time, effort, and money, constituting valuable intellectual property. The Platform may also contain information designated as "Confidential" by Us; You agree not to disclose such information to any third party without Our prior express written consent.
3. User-Generated Content
By posting reviews, comments, or photos of food on the Shopminii App, You grant Us a perpetual, irrevocable, royalty-free, and sub-licensable right to use, reproduce, modify, and display such content for marketing and service improvement purposes. You represent that You own or control all rights to the content You post.
6.USER DATA & PRIVACY COMPLIANCE
1. Data Collection & Purpose
Shopminii collects and maintains specific information (such as your name, delivery address, and order history) to ensure the App runs smoothly and your food reaches you correctly. We handle this data according to our Privacy Policy and the DPDP Act.
2. Our Responsibility (Data Fiduciary)
While we perform regular backups to prevent data loss, we implement industry-standard security measures to protect your information. However, in the rare event of data corruption or loss due to factors beyond our reasonable control (such as third-party server failures or cyber-attacks), we will act promptly to restore services.
3. Your Responsibility
You are responsible for the accuracy of the data you provide (like the correct flat number or phone number). Shopminii is not liable for failed deliveries caused by incorrect information provided by the User. You are also responsible for all activities that happen under your account
7.Modification of T&Cs
The T&Cs governing the use of Shopminii are subject to periodic modifications and amendments. While we may update these terms to reflect changes in law or our service features, we reserve the right to do so at our sole discretion.
Notice: For any significant changes that impact Your rights or payment obligations, we will strive to provide notice via App notifications or a header on our website.
Consent: By continuing to access or use the Platform after an amendment becomes effective, You provide Your legal consent to be bound by the revised T&Cs.
Right to Withdraw: If You find any modified term unacceptable, Your sole remedy is to discontinue the use of the Platform and uninstall the App.
To maintain the security, integrity, and performance of the Services, Shopminii may periodically release software updates, patches, or "bug fixes."
You acknowledge that certain parts of the Platform may become inaccessible or malfunction unless You install the latest version of the App.
These updates are designed to enhance Your experience and protect Your data; therefore, staying updated is a condition of continued service.
8.LIMITATION OF LIABILITY
1. Scope of Liability
In no event shall SHOPMINII Proprietorship, its owner, employees, or agents be held liable to You or any third party for any indirect, incidental, special, or consequential damages. This includes, but is not limited to, lost profits, lost revenue, or loss of data resulting from Your use of the Services, even if we have been notified of such risks.
2. Maximum Liability Cap
Notwithstanding anything to the contrary in these Terms, our total liability to You for any claim—regardless of the nature of the action (whether in contract or tort)—shall at all times be limited to the lesser of:
The total amount paid by You for the specific order that gave rise to the claim; or
A maximum sum of ₹1000 (Rupees one thousand).
3. Third-Party Exceptions
Shopminii operates as an intermediary. We are not liable for:
Health issues or damages caused by food quality, hygiene, or preparation (this is the sole responsibility of the Restaurant Partner).
Behavior, accidents, or delays caused by independent Delivery Partners.
Technical failures of third-party payment gateways (e.g., UPI or Bank server errors).
4. Statutory Rights
Certain Indian laws do not allow the total exclusion of implied warranties or the limitation of certain damages. If these laws apply to You, some or all of the above disclaimers may not apply, and You may have additional rights under the Consumer Protection Act, 2019.
9.CORRECTIONS AND ACCURACY OF INFORMATION
1. Right to Correct Errors
The information provided on the Shopminii Platform—including food descriptions, photographs, restaurant menus, pricing, and availability—is provided for Your convenience. Occasionally, there may be information that contains typographical errors, inaccuracies, or omissions.
We reserve the right, without prior notice, to:
Correct any such errors, inaccuracies, or omissions.
Change or update information if any details on the Platform are found to be incorrect at any time.
2. Pricing Discrepancies
While we strive for 100% accuracy, in the event an item is listed at an incorrect price due to a clerical or technical error, Shopminii reserves the right to refuse or cancel any orders placed for that item. If Your payment has already been processed for such a cancelled order, we will issue a full refund to Your original payment method.
3. No Guarantee of Completeness
We do not guarantee that all information provided by Restaurant Partners is always complete, reliable, or current. Shopminii is not obligated to update outdated information except as required by applicable Indian law (e.g., FSSAI labeling requirements).
10.GOVERNING LAW
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of India.
SHOPMINII Proprietorship and yourself irrevocably agree that the courts of Chennai, Tamil Nadu shall have exclusive jurisdiction to resolve any dispute, claim, or controversy that may arise in connection with these Legal Terms or the use of the Platform.
